By engaging our Services, you agree to be bound by these Terms and Conditions.
These Terms and Conditions ("Terms") govern the relationship between Topiax ("we," "us," or "our") and you ("Client" or "you") regarding the provision of software development, AI, blockchain, web3, mobile, web app, marketing, and product development and design services ("Services"). By engaging our Services, you agree to be bound by these Terms.
We will provide the Services described in our proposal or agreement ("Agreement"). The scope, timeline, and deliverables of the Services will be outlined in the Agreement.
You agree to pay the fees for the Services as specified in the Agreement. Payment terms, invoicing schedules, and late payment fees will be detailed in the Agreement.
All intellectual property rights in the deliverables created by us during the provision of the Services ("Deliverables") will belong to you upon full payment of the fees. We grant you a non-exclusive, worldwide, perpetual license to use the Deliverables for your business purposes.
Both parties agree to keep confidential any proprietary information disclosed during the course of the project, including but not limited to business plans, trade secrets, and technical information. This obligation shall survive the termination of this Agreement.
Either party may terminate this Agreement with written notice if the other party breaches any material term and fails to remedy the breach within a reasonable time frame. Upon termination, you will pay for all Services rendered up to the date of termination.
To the fullest extent permitted by law, our liability for any damages arising from the Services shall be limited to the amount paid by you for the Services. We shall not be liable for any indirect, incidental, consequential, or punitive damages.
We warrant that the Services will be performed in a professional and workmanlike manner. We do not guarantee the results of the Services, as the success of any project depends on various factors beyond our control.
